HONG KONG, Oct. 1, 2026 /PRNewswire/ — Toys"R"Us Asia today announced that Toys"R"Us-Japan, Ltd., a member of its group, has entered into a definitive agreement to transfer its business to an affiliate of Pan Pacific International Holdings Corporation ("PPIH"). Following completion of the business transfer, the Japan business will operate as part of the PPIH group.

Until the closing of the transaction, it will be business as usual for customers in Japan. Stores are expected to remain open, customer service channels to remain fully operational, and the same high standards of product quality, value, and service to be maintained.

Supporting employees throughout this transition is a top priority. We will work closely with PPIH to facilitate an orderly transition of the business and to provide employees in Japan with timely communication and appropriate support throughout the process.

Completion of the transaction remains subject to customary closing conditions and other requisite approvals, and is being undertaken in connection with civil rehabilitation proceedings in Japan.

This transaction will support the continued operation of the retail business in Japan under new ownership, while enabling Toys"R"Us Asia to sharpen its focus on long-term growth opportunities across its broader Asian footprint.

All Toys"R"Us Asia operations, stores, eCommerce platforms, supply chain activities and vendor relationships outside Japan are unaffected by this transaction and will continue to operate as usual. Toys"R"Us Asia will continue to exclusively operate the iconic Toys"R"Us brand across its other markets in Asia.
